Purchase Order Terms and Conditions

Below is a list of KTEC's "Terms and Conditions" that apply to all our Purchase Orders.

Notification of Nonconforming Product:
Seller shall notify Buyer of nonconforming product associated with this order, within 24 hours, and make arrangements for Buyer to disposition the nonconforming product.
Seller shall not deliver nonconforming product without Buyer's written authorization.

Changes to Product/Process Definition:
Seller shall notify Buyer of any product and/or process definition changes, changes of suppliers, change of manufacturing facility location and, where required, obtain Buyer approval. Seller shall afford KTEC the opportunity to review the changes to ensure customer requirements are met.
Buyer reserves the right to cancel or change the order if product and/or process definition changes result in a deviation from Buyer or customer requirements.

Right of Access:
Seller agrees to provide right of access to Buyer, Buyer's customer, and regulatory authorities to all facilities, at any level of the supply chain, involved in the order and to all applicable records.
Buyer, customer and/or pertinent government agencies may perform on-site audits or inspections related to Seller's performance hereunder at Seller's plant, including, but not limited to, audit or inspection of Seller's facilities, systems, equipment, testing, data, personnel, all work-in-process and completed products manufactured.

Record Retention:
All records, including certification as required under the terms of this purchase order and which document the quality of the items provided, shall be stored, protected, and controlled to ensure that they remain identifiable, legible and useful and to be retained for a minimum of 15 years unless otherwise specified in the purchase order or contract. At the expiration of such period, Buyer reserves the right to request delivery of such records. In the event Buyer chooses to exercise this right, Seller shall promptly deliver such records to Buyer at no additional cost on media agreed to by both parties.

Flow Down Requirements:
Seller shall flow down to the supply chain the applicable requirements as defined in the purchasing documents (PO, Terms and Conditions, and other related documents) including customer requirements. When applicable, Seller should use customer designated supplier or approved external providers, including process sources.

FOD Prevention:
Seller shall maintain a Foreign Object Debris (FOD) control program. Supplier shall flow down these requirements to sub-tier suppliers to ensure compliance.

Product Authenticity:
Seller shall deliver product which meets the requirements specified in the order and shall prevent the use or delivery of suspect unapproved, unapproved and counterfeit products.

Storage Conditions:
Seller shall ensure that products are protected from physical damage during transportation and use best industry methods for shipments to KTEC.
Temperature-sensitive products must be shipped with appropriate thermal protection (cold packs, dry ice, special packaging) as required for transportation to KTEC.
Special packaging and handling charges must be disclosed to KTEC prior to shipment.

Executive Order (EO) 13224:
Seller shall adhere to the directions provided in Executive Order (EO) 13224, "Executive Order on Terrorist Financing - Blocking Property and Prohibiting Transactions with Persons Who Commit, Threaten to Commit, or Support Terrorism", effective on 09/24/2001 and any subsequent changes made to it. Supplier further agrees to include this requirement in lower-tier purchase orders or subcontracts hereunder. Acceptance:
Buyer's acceptance of products shall be subject to Buyer's inspection after receipt at destination, and shall include receipt of all required certificates, test reports and/or airworthiness approval from the approved manufacturer, as required in the order.

Quality:
Seller shall implement, document and maintain a Quality Management System appropriate to the products they design, manufacture, repair or sell and shall cover all activities concerned by Buyer contracts or purchase orders. Seller will ensure that persons under their control are competent, trained and aware of their contribution to product or service conformity, product safety and the importance of ethical behavior. This awareness must be promoted within the Seller's organization and flowed down to relevant external providers.
